SOURCE 0 — EXPLORATORY MISSION

PURPOSE OF THE MISSION
The exploratory mission is the first step in any SOURCE 0 implementation. It covers the collection and analysis of the Client’s regulatory and technical context, and concludes with a written report. It does not include any on-site intervention or technical implementation. Its outcome conditions the opening, where relevant, of a separate implementation mission, governed by a distinct convention and not accessible through this exploratory mission.

ENGAGEMENT TERMS
The exploratory mission cannot be ordered online. Any request is sent by email to jfe@jfelsen.com and is subject to a prior written exchange to verify that the Client’s situation falls within the scope of SOURCE 0. Where this is the case, a written offer is sent to the Client; it specifies the price of the mission, the amount of the flat-rate fee applicable if the non-disclosure agreement is not returned, and the payment terms. The price is fixed and payable in full prior to any execution. It does not cover any travel cost, as the mission is carried out entirely remotely; no geographic restriction applies as a result.

PROCESS
Following written acceptance of the offer and receipt of payment, a non-disclosure agreement is sent by email for signature via Youtrust. The information collection form is sent only after this signed agreement has been received. On this basis, Jean-François ELSEN carries out the analysis of the context provided and drafts a report, delivered in Word format. The Client is then given a window to raise written questions on the report, anchored as comments directly within the document; responses follow the same procedure, in successive dated and numbered versions. Two rounds of questions and answers are included in the price of the mission; any additional round is billed at the applicable hourly rate.

DEADLINES
The Client has ten business days from the sending of the non-disclosure agreement to return it signed. Past this deadline without a signed return, the flat-rate fee set out in the offer is retained from the prepaid amount as a management and resource-immobilization fee, with the balance refunded. After receiving the report, the Client has five business days to submit questions; each response is provided within three business days.

RESERVED FOR PROFESSIONAL CLIENTS
This exploratory mission is reserved for persons acting in a professional capacity within their business activity, to the exclusion of any person acting for purposes outside their professional activity within the meaning of Book VI of the Belgian Code of Economic Law. Any acceptance of an offer constitutes a declaration by the Client that they act in this capacity.

TERMS
The contract is formed by the Client’s written, unequivocal and signed acceptance of the offer, in accordance with Article 3 of the General Terms and Conditions of Sale of Jean-François ELSEN. The General Terms and Conditions of Sale and the specific conditions of the offer are sent together with it and form an integral part of it. Signature of the non-disclosure agreement is a condition for the execution of the mission, not for the formation of the contract.
